Pre-launch preview. Legalyard AI has not launched yet — this page publishes the policy as it will operate at launch, ahead of time, so you can review it now. References to in-app settings (for example "Settings → Privacy") describe the product once it is live, not this website today. This website itself sets no cookies, runs no analytics, and collects nothing beyond what you send us by email — see the note at the end of this document.

1. Introduction & Acceptance

These Terms of Service ("Terms") form a legally binding agreement between you ("User", "you", or "your") and Innvoq Labs LLP ("Legalyard", "we", "our", or "us"), a limited liability partnership registered in India with its principal place of business at WeWork 247 Park, Vikhroli, Mumbai, MH, IN-400079. Legalyard AI is a product of Innvoq Labs LLP. These Terms govern your access to and use of Legalyard AI — the web application at legalyard.ai, the mobile applications, the public APIs, and all related services, content, and software (collectively, the "Service").

By accessing or using the Service in any manner — by creating an account, by clicking "I agree", by entering a prompt, by uploading a document, or by subscribing to a paid plan — you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, which is incorporated herein by reference. If you do not agree, you must immediately stop using the Service.

Arbitration & class-action waiver

Section 22 contains a binding arbitration agreement and a class-action waiver. By using the Service, you agree to resolve disputes individually, through binding arbitration, except as expressly carved out in Section 22.

3. The Service

Legalyard AI is a generative-AI-assisted research and drafting platform aimed at individuals, students, professionals, and small businesses with legal or finance-adjacent information needs. The Service includes: AI chat, document upload and review, drafting templates ("Apps"), citation lookup, and consumer-grade workflows.

The Service is offered globally, with a primary product focus on Indian law and a growing set of jurisdiction packs (currently spanning India, the United States, the United Kingdom, the European Union, Canada, Australia, Singapore, and the United Arab Emirates). Other jurisdictions are available on a best-effort, informational basis only.

What the Service is NOT

The Service is NOT a substitute for a licensed lawyer, chartered accountant, tax adviser, or qualified financial professional. It does NOT establish an attorney-client, advocate-client, accountant-client, or fiduciary relationship of any kind. It is NOT a regulated financial-advisory service. See Section 4.

4. No Legal Advice. No Professional Relationship.

The Service provides legal and finance-related information and AI-generated drafts for general informational, educational, and self-help purposes only. Outputs are not legal advice, financial advice, tax advice, investment advice, accounting advice, medical advice, or any other form of professional advice.

Your use of the Service does NOT create an attorney-client relationship, an advocate-client relationship, a solicitor-client relationship, an accountant-client relationship, a fiduciary relationship, or any other professional or confidential relationship between you and Legalyard, its employees, contractors, or affiliates. Communications with the Service are NOT protected by attorney-client privilege, advocate-client privilege, work-product doctrine, accountant-client privilege, or any analogous protection in any jurisdiction.

Law and finance are jurisdiction-specific, fact-specific, and time-sensitive. Outputs may be incomplete, outdated, factually wrong, inapplicable to your facts, inapplicable to your jurisdiction, or fabricated (a phenomenon known as AI 'hallucination'). You must independently verify every Output with a qualified, locally-licensed professional before relying on, acting on, filing, signing, or distributing it.

Do not use Outputs without verification

Never file an Output with a court, regulator, or counterparty without review by a qualified, locally-licensed lawyer. Never sign a contract drafted by the Service without independent legal review. Never make a financial, tax, or investment decision based solely on an Output. We accept no liability for unverified use of Outputs.

5. AI Disclosures & Limitations

Outputs are generated by probabilistic machine-learning models, including third-party foundation models we orchestrate. This generation method has known limitations that you must understand and accept before using the Service.

  • Hallucinations. Outputs may state facts, case citations, statutes, or rulings that do not exist or that mischaracterise sources. Always verify case names, citations, statutory references, and quoted text against authoritative primary sources.
  • Knowledge cutoff. Foundation models have training-data cutoffs and may not reflect recent statutory amendments, judicial decisions, regulatory guidance, or rate changes. Always check whether the law has changed since the model's cutoff.
  • Jurisdictional mismatch. Outputs may draw on doctrine from a different jurisdiction than yours. Indian readers may receive responses informed by U.S. case law and vice versa. Always confirm jurisdictional applicability.
  • Biases. Models may exhibit cultural, gender, linguistic, or jurisdictional biases. We monitor for known categories of bias but cannot eliminate them.
  • Stochasticity. The same prompt may yield different Outputs on different occasions. Outputs are not deterministic.
  • Source attribution. Where the Service surfaces citations or source links, you must verify them at source. Citation hallucinations are a known failure mode of generative AI.

We provide the Service with these limitations disclosed up-front. Your decision to rely on any Output is yours alone, and you bear the consequences of that reliance.

6. Eligibility, Capacity & Restricted Persons

You may use the Service only if you are 18 years of age or older AND have the legal capacity to enter into a binding contract in your jurisdiction. By using the Service you represent and warrant that both conditions are true.

If you are using the Service on behalf of an organisation, you represent and warrant that you have authority to bind that organisation to these Terms, in which case "you" includes that organisation.

You may NOT use the Service if you are: (a) located in, ordinarily resident in, or organised under the laws of any country subject to comprehensive sanctions administered by the United Nations, the United States Office of Foreign Assets Control (OFAC), the European Union, the United Kingdom, or India; (b) a person on a restricted or denied-persons list maintained by any such authority; (c) prohibited by Applicable Law from receiving software or technology of the type the Service provides; or (d) previously suspended or removed by Legalyard.

7. Accounts & Security

  • Accurate information. You must provide accurate, current, and complete information when registering and keep it up to date.
  • Account security. Sign-in is by one-time email code or a sign-in provider; the Service does not offer a password or multi-factor authentication for consumer accounts. You are responsible for safeguarding the email account and sign-in provider you use, the one-time codes we send you, and any device that is signed in to the Service. You can review and revoke signed-in sessions from Settings → Account.
  • No sharing. You must not share, sell, rent, or assign your Account or session token, and you must not allow any other person to use your Account.
  • One account per person. Creating multiple Accounts to circumvent quotas, free-tier limits, suspension, or abuse-prevention systems is prohibited and grounds for termination.
  • Notification of compromise. You must notify security@legalyard.com promptly upon learning of any unauthorised access to your Account or any other security breach.

8. Acceptable Use Policy

You agree not to do, attempt, encourage, or facilitate any of the following:

Illegal & harmful content

  • Generating, requesting, soliciting, or distributing child sexual abuse material (CSAM) or any content that sexualises minors in any way.
  • Generating content that incites, facilitates, or glorifies terrorism, mass violence, or genocide.
  • Generating malware, ransomware, exploit code, phishing kits, or instructions for executing cyberattacks.
  • Generating instructions for the manufacture, acquisition, or deployment of weapons capable of mass harm (chemical, biological, radiological, nuclear, or explosive).
  • Generating content that defames, harasses, threatens, doxxes, stalks, or incites violence against any person or group.
  • Generating content that promotes hatred or discrimination based on protected characteristics under applicable law.
  • Generating non-consensual intimate imagery, sexual deepfakes, or sexualised content depicting any real person without verifiable consent.

Unauthorised practice & deception

  • Holding the Service or its Outputs out as a substitute for legal, medical, tax, financial, or other professional advice rendered by a licensed professional.
  • Holding yourself out as a licensed professional when you are not, or providing services that require professional licensure in your jurisdiction without that licensure.
  • Filing AI-generated material with a court, tribunal, arbitrator, regulator, or other adjudicative body without independent professional review and attestation as required by the rules of that forum.
  • Using the Service to draft or generate documents intended to deceive a court, regulator, counterparty, or consumer (including, without limitation, falsified evidence, sham contracts, fake citations, or impersonation).
  • Generating content for the purpose of impersonating a real person, public official, or organisation.

Platform abuse

  • Scraping, crawling, harvesting, or systematically downloading the Service or its Outputs by any automated means not expressly authorised by us in writing.
  • Reverse-engineering, decompiling, disassembling, or otherwise attempting to derive the source code, model weights, prompts, or proprietary algorithms of the Service.
  • Using the Service to train, fine-tune, evaluate, benchmark, or develop a competing AI model or service without our prior written consent.
  • Circumventing rate limits, quotas, paywalls, safety filters, content moderation systems, or any other technical restriction.
  • Probing, scanning, penetration-testing, or stress-testing the Service without prior written authorisation under our vulnerability-disclosure programme.
  • Introducing viruses, worms, time bombs, or other malicious code, or interfering with the integrity or operation of the Service or its underlying infrastructure.
  • Using the Service in a manner that, in our reasonable judgment, threatens the security, availability, or integrity of the Service or other users.

IP & third-party rights

  • Uploading or submitting Content that infringes any third party's copyright, trademark, trade secret, patent, publicity right, privacy right, or contractual right.
  • Uploading or submitting Content that is subject to obligations of confidence to a third party where you lack authority to share it with us.
  • Uploading personal data of any third party in violation of applicable data-protection law (including special category / sensitive personal data).

Enforcement

Prompts and Outputs are screened automatically for the categories above. We may, at our sole discretion and without notice, refuse a request, flag it for review by authorised staff, suspend, throttle, or terminate access; remove or redact Content; preserve evidence; and report violations to law-enforcement authorities. Repeated or material breaches may result in permanent termination and forfeiture of paid-tier fees.

Our Acceptable Use Policy restates these rules in plain language and explains how to report abuse (abuse@email.legalyard.com) and copyright concerns (legal@email.legalyard.com).

9. Your Submissions & Content Rights

Ownership

You retain all ownership, title, and intellectual-property rights you have in your Submissions. Nothing in these Terms transfers ownership of your Submissions to us.

Licence you grant us

You grant Legalyard a worldwide, non-exclusive, royalty-free, sublicensable (to AI Providers and other subprocessors strictly for the purposes below) licence to host, store, copy, transmit, display, process, transform, and route your Submissions for the limited purposes of: (a) operating, maintaining, securing, and improving the Service; (b) generating Outputs for you; (c) detecting abuse, fraud, malware, and policy violations; (d) complying with Applicable Law; and (e) enforcing these Terms. The licence terminates when you delete the Submission, except to the extent retention is required for backup integrity, legal, regulatory, dispute-resolution, fraud-prevention, or audit purposes (see our Privacy Policy for retention windows).

No model training on your Content

Legalyard does not use your Submissions, Outputs, conversations, or memories to train or fine-tune AI models, on any plan. Separately, you may choose in Settings → Privacy whether we capture the edits and feedback you give on answers; when you do, those corrections are kept for 90 days and used to improve answer quality, and this too does not train a model. The Privacy Policy states what our AI Providers are recorded as permitted to do with what they receive.

Your representations

You represent and warrant that: (a) you own or have all rights necessary to submit your Submissions; (b) your Submissions do not violate any third-party right or Applicable Law; (c) your Submissions are not subject to any obligation of confidence that prohibits their submission to us; (d) if your Submissions contain personal data of any third party, you have provided all required notices and obtained all required consents under applicable data-protection law.

10. Outputs

Subject to your compliance with these Terms, applicable usage limits, and the underlying AI Providers' terms, you may use Outputs we generate for you for any lawful purpose. As between you and us, you own the Outputs to the maximum extent permitted by Applicable Law.

Outputs are probabilistic — others may receive similar ones

Because generative models are probabilistic, the same or substantially similar Outputs may be returned to other users for similar prompts. We grant you no exclusivity in any Output, and the existence of similar Outputs in the hands of others is not a breach of these Terms.

Outputs may not be copyrightable, patentable, or otherwise protectable under intellectual-property law in some jurisdictions because they are wholly or substantially the product of an AI system. Your ability to enforce IP rights in an Output depends on Applicable Law in your jurisdiction.

You are solely responsible for: (a) verifying every Output before relying on, acting on, filing, signing, or distributing it; (b) ensuring every Output complies with Applicable Law for your intended use; (c) disclosing AI-generated origin where the rules of any court, regulator, or counterparty require disclosure; and (d) any harm arising from your use of an Output.

11. Subscriptions, Billing, Taxes & Refunds

Plans

The Service is offered on Free, Lite, Pro, and Pro+ tiers (and any successor or additional tiers we may introduce). Plan features, credit allowances, and prices are described on legalyard.ai/pricing and may be updated from time to time.

Billing & auto-renewal

  • Subscriptions automatically renew at the end of each billing period at the then-current price unless cancelled before renewal.
  • Payments are processed by third-party processors: Razorpay (India), Paddle Inc. (as Merchant of Record for non-India), and the Apple App Store / Google Play Store (for in-app purchases). Their terms apply in addition to ours.
  • We may suspend access if a payment is reversed, charged back, or otherwise unsuccessful.

Taxes

Prices may be exclusive of applicable taxes. Indian users are charged GST. EU/UK users are charged VAT via Paddle as Merchant of Record. US users may be charged state sales tax via Paddle where Paddle has nexus. You are responsible for any other taxes, withholdings, or duties imposed on your use of the Service by your jurisdiction.

Cooling-off & refunds

  • India consumers: where required by the Consumer Protection Act, 2019 and its rules, you have a 7-day cooling-off period during which you may cancel for a pro-rata refund of the unused portion, subject to fair-use deductions for substantial consumption.
  • EU/EEA consumers: you have a 14-day right of withdrawal under Directive 2011/83/EU. Before you pay, checkout asks you to separately confirm that you want immediate access now and that this waives your right of withdrawal once the Service is fully performed within the period — we do not treat starting to use the Service as that confirmation, and without it we do not begin performance during the cooling-off period.
  • UK consumers: you have an equivalent 14-day right of withdrawal under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, waived the same explicit way described above for EU/EEA consumers.
  • California, Australia, and other jurisdictions with mandatory consumer protections: rights as required by Applicable Law in your jurisdiction are unaffected by these Terms.
  • Outside of the above, fees are non-refundable.

↗ Refund Policy — published alongside this policy once the product is live.

Price changes

We may change prices, plan features, or credit allowances at any time with at least 30 days' prior notice (by in-app banner, email, or both). Price changes take effect at your next renewal; you may cancel before renewal if you do not accept the new pricing.

Cancellation

You may cancel a Subscription at any time from Settings → Billing or via the third-party store where you purchased. Cancellation takes effect at the end of the then-current billing period; you retain access until then.

12. Free Tier, Credits & Fair Use

Use of the Service is metered in credits. Each request — an answer, a draft, a document analysis, or an app run — consumes credits according to the work actually performed, up to a ceiling we determine before the request runs and never exceed. There is no separate cap on the number of chats, drafts, or document analyses you may run in a day or a month.

We check your balance before a request runs. If your balance is well short of that request's ceiling, the request is declined before any work is done and no credits are charged. If your balance is below the ceiling but not exhausted, we may instead run the request within the budget you have left and tell you in the answer that it was produced under a reduced budget.

Credits reach your account in up to three buckets and are spent in this order: daily refresh credits, granted on the Free plan only and expiring unused at the end of your local day; your plan's monthly credit allowance, which carries over for one further billing cycle and then expires; and credit packs bought separately, which expire twelve months after purchase. Your balance, and a line-by-line record of every credit granted, spent and expired, are shown in-app.

On a paid plan there is no separate daily grant. Instead, part of your monthly allowance is available to you each day: you may spend up to twice an even daily share of it in any one day, and up to a weekly ceiling in any one week. This is a pacing limit, not a reduction — nothing is taken away, and whatever you do not use each day stays in your monthly allowance. If you reach it, we tell you when it reopens: the daily limit resets at 00:00 UTC and the weekly limit on Monday. Your remaining share of the day and of the month are shown in-app.

Credit allowances and the credit cost of an operation may be adjusted to reflect cost, abuse, capacity, or product-strategy changes; material reductions to a paid tier's credit allowance are notified in advance.

Separately from credits, each plan limits how many answers you may have generating at the same time — currently one on Free, two on Lite, three on Pro, and five on Pro+. Starting more than that at once declines the extra request as “too many at once”. That is not a shortage of credits, nothing is charged for it, and you can retry as soon as one of your in-flight answers finishes.

We also apply a daily ceiling on the total cost of the AI processing we will perform for a single account. This is a safety limit against runaway, automated, or compromised use rather than a product allowance, and ordinary use does not reach it. If it is reached, AI features pause for that account and resume at 00:00 UTC.

We reserve the right to throttle or temporarily suspend Accounts that exceed reasonable per-second or per-minute request rates, exhibit programmatic / scripted behaviour, or otherwise risk degrading the Service for other users.

13. Third-Party Services & AI Providers

The Service relies on third-party infrastructure and AI Providers. We disclose all current subprocessors in the sub-processor register and on the Trust page. Your use of the Service via these subprocessors is also subject to their respective terms and policies to the extent applicable.

You may connect third-party services to your Account (cloud drives, mail, calendar, e-signature, productivity tools, and LinkedIn or X publishing). Data flows to or from such a service only after you connect it and only when you use the connection, and you can disconnect at any time from Settings → Connectors or Settings → Account. Your use of a connected service is governed by that service's own terms.

↗ Sub-processor register — published alongside this policy once the product is live.

The Service may link to third-party websites, content, or applications that we do not control. We are not responsible for, and make no representation or warranty regarding, any third-party site, content, or application.

↗ Subprocessors & data flows (Trust page) — published alongside this policy once the product is live.

14. Privacy

Our Privacy Policy describes the personal data we collect, how we use and share it, and your rights and choices. Our Cookie Policy lists every cookie the Service sets. By using the Service you agree that we may process your personal data as described in the Privacy Policy.

↗ Privacy Policy — published alongside this policy once the product is live.

↗ Cookie Policy — published alongside this policy once the product is live.

15. Confidentiality — Special Notice for Legal Users

Do not upload privileged or confidential matter without authority

Lawyers, advocates, in-house counsel, paralegals, and anyone who handles privileged or confidential information on behalf of a client must obtain that client's informed consent before uploading anything to the Service. Use of an AI service may, in some jurisdictions and circumstances, be deemed a waiver of privilege or a violation of professional-conduct rules. You are solely responsible for ensuring your use of the Service complies with the rules of your bar, regulator, or licensing body.

While we apply strong technical and organisational safeguards (see Trust page) and limit access to your Content on a least-privilege basis, communications with the Service are not protected by attorney-client / advocate-client / accountant-client privilege or any analogous protection. If you require a higher level of confidentiality (for example, a Business Associate Agreement, a Data Processing Agreement on Legalyard's enterprise terms, or a Single Tenant deployment), please contact legal@email.legalyard.com before submitting sensitive material.

16. Our Intellectual Property

The Service, the Documentation, the software, the brand assets (including the Legalyard and Legalyard AI names, logos, and visual identity), the user interface, and every other Legalyard-developed part of the Service — including the models, methods, instructions and testing materials we develop to produce Outputs — are the exclusive property of Innvoq Labs LLP or its licensors and are protected by copyright, trademark, trade-secret, and other Applicable Law.

Subject to your compliance with these Terms, Legalyard grants you a limited, revocable, non-transferable, non-sublicensable, non-exclusive licence to access and use the Service for your internal, lawful purposes. No other licence, express or implied, is granted to you. All rights not expressly granted are reserved.

You may not remove, obscure, or alter any proprietary notices on the Service.

17. Feedback

If you send us feedback, suggestions, ideas, or feature requests ('Feedback'), you grant us a perpetual, irrevocable, worldwide, royalty-free licence to use, modify, and incorporate the Feedback in any manner without compensation or attribution. We are not obligated to use Feedback or to maintain confidentiality of Feedback.

18. Warranty Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE, OUTPUTS, AND ALL RELATED MATERIALS ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. LEGALYARD AND ITS LICENSORS AND SUPPLIERS DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, QUIET ENJOYMENT, AND ANY WARRANTY ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.

WITHOUT LIMITING THE FOREGOING, WE DO NOT WARRANT THAT: (A) THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE; (B) OUTPUTS WILL BE ACCURATE, RELIABLE, COMPLETE, CURRENT, NON-INFRINGING, NON-HALLUCINATED, JURISDICTIONALLY APPROPRIATE, OR FIT FOR ANY PURPOSE; (C) THE SERVICE WILL OPERATE IN COMBINATION WITH ANY OTHER HARDWARE, SOFTWARE, OR SERVICE; OR (D) DEFECTS WILL BE CORRECTED.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU. NOTHING IN THESE TERMS LIMITS RIGHTS THAT CANNOT BE LIMITED UNDER APPLICABLE CONSUMER-PROTECTION LAW (INCLUDING THE INDIAN CONSUMER PROTECTION ACT, 2019; THE EU CONSUMER RIGHTS DIRECTIVE; THE UK CONSUMER RIGHTS ACT 2015; AUSTRALIAN CONSUMER LAW; AND ANALOGOUS LAWS IN YOUR JURISDICTION).

19. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW: (A) IN NO EVENT WILL LEGALYARD, ITS AFFILIATES, OR ITS OR THEIR DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, USE, DATA, OR DATA-RECONSTRUCTION COSTS, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE, WHETHER BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

(B) OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE, REGARDLESS OF THE FORM OF ACTION, IS LIMITED TO THE GREATER OF (i) THE FEES YOU PAID TO US FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, AND (ii) ONE HUNDRED US DOLLARS (USD 100) — OR THE LOCAL-CURRENCY EQUIVALENT.

NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY FOR: (i) DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE; (ii) FRAUD OR FRAUDULENT MISREPRESENTATION; (iii) GROSS NEGLIGENCE OR WILFUL MISCONDUCT; OR (iv) ANY OTHER LIABILITY THAT CANNOT BE LAWFULLY EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

THE PARTIES AGREE THAT THE PROVISIONS OF THIS SECTION 19 REPRESENT A REASONABLE ALLOCATION OF RISK BETWEEN THEM AND ARE AN ESSENTIAL ELEMENT OF THE BASIS OF THE BARGAIN.

20. Indemnification

To the maximum extent permitted by Applicable Law, you will defend, indemnify, and hold harmless Legalyard, its affiliates, and its and their directors, officers, employees, contractors, agents, and licensors from and against any third-party claims, demands, suits, proceedings, losses, liabilities, damages, settlements, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your breach of these Terms or our policies; (b) your violation of Applicable Law; (c) your Submissions; (d) your use of any Output, including any filing, signing, distribution, reliance on, or action based on an Output; (e) your violation of any third-party right (including IP, privacy, publicity, or contract); and (f) your negligent or wilful misconduct.

We may, at our option, assume the exclusive defence and control of any matter subject to indemnification, in which case you will cooperate with our defence.

21. Term & Termination

These Terms remain in effect while you use the Service. You may stop using the Service and delete your Account at any time.

We may suspend, restrict, or terminate your access immediately and without prior notice if: (a) you breach these Terms or our policies; (b) we are required to do so by Applicable Law, a regulator, or a court order; (c) your use poses a security, integrity, or liability risk to us, other users, or third parties; (d) your payment fails or is reversed; or (e) we discontinue the Service or any tier of it.

Upon termination: your right to access the Service ends; we will, subject to the legal-hold and record-keeping exceptions in the Privacy Policy, delete your Content within the retention windows set out there; any accrued payment obligations survive; and Sections 4, 5, 9, 10, 14, 15, 16, 17, 18, 19, 20, 22, 23, 24, 26, and 27 survive termination.

22. Governing Law & Jurisdiction

These Terms are governed by the laws of India, without regard to its conflict-of-laws principles. Subject to the dispute-resolution provisions below and to mandatory consumer-law rights in your jurisdiction, the courts at Mumbai, Maharashtra, India have exclusive jurisdiction over any dispute arising out of or related to these Terms or the Service.

If you are a consumer ordinarily resident in the European Economic Area, the United Kingdom, Switzerland, or another jurisdiction whose conflict-of-laws rules entitle you to the protection of the mandatory consumer-law provisions of your home jurisdiction, those protections apply notwithstanding the foregoing.

If you are a consumer ordinarily resident in California, USA, you may, in addition to the dispute-resolution provisions below, exercise rights under California consumer-protection law.

23. Dispute Resolution & Arbitration

Informal resolution first

Before initiating any formal proceeding, you must send a written notice of dispute to legal@email.legalyard.com describing the dispute, your claim, and the relief sought. The parties will attempt to resolve the dispute in good faith for 60 days from receipt of the notice.

Binding arbitration

If the dispute is not resolved within 60 days, it will be finally resolved by binding arbitration under the Arbitration and Conciliation Act, 1996 of India (as amended), by a sole arbitrator appointed in accordance with the rules of the Mumbai Centre for International Arbitration. The seat and venue of arbitration is Mumbai, India. The language of arbitration is English. The award is final and binding on the parties.

Notwithstanding the foregoing, either party may seek interim or injunctive relief from a court of competent jurisdiction to protect its intellectual-property rights or confidential information pending the arbitration.

Class-action waiver

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EACH PARTY WAIVES ANY RIGHT TO BRING OR PARTICIPATE IN A CLASS ACTION, COLLECTIVE ACTION, REPRESENTATIVE ACTION, OR PRIVATE-ATTORNEY-GENERAL ACTION. THE ARBITRATOR HAS NO AUTHORITY TO CONSOLIDATE OR HEAR CLAIMS ON A CLASS OR REPRESENTATIVE BASIS.

If the class-action waiver is held unenforceable as to any claim, then that claim (and only that claim) is severed from arbitration and proceeds in the courts identified in Section 22, but the remainder of this Section 23 continues to apply.

Carve-outs

Notwithstanding this Section 23, any claim relating to: (a) ownership, infringement, validity, or misuse of intellectual-property rights, (b) violations of confidentiality obligations, or (c) emergency injunctive relief, may be brought in any court of competent jurisdiction without prior arbitration.

24. Modifications to These Terms

We may revise these Terms from time to time. If a revision is material, we will provide at least 30 days' advance notice (by in-app banner, email, or both) before the revision takes effect. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the revision. If you do not agree, you must stop using the Service before the effective date.

Non-material revisions (typographical corrections, clarifications, the addition of new optional features, or jurisdiction-specific annexes) take effect on posting.

25. Regional & Jurisdiction-Specific Provisions

The following supplemental provisions apply to users in the jurisdictions named below and prevail over conflicting provisions elsewhere in these Terms with respect to such users.

§ About this website specifically

Everything above describes Legalyard AI, the product, as it will operate at launch. Separately: this pre-launch website (legalyard.ai, before launch) has no forms, sets no cookies, and runs no analytics of its own — it does not collect personal data. If you email us, we use your address only to reply. Pages load the Inter and Geist Mono typefaces from Google Fonts, which involves your browser requesting font files from Google's servers.
